Subscription & Billing Policy

1. PURPOSE AND SCOPE

1.1 This Subscription & Billing Policy (“Policy”) governs all aspects of subscription management, billing, invoicing, pricing, renewals, payment methods, and financial obligations applicable to Users of the Vibe Coding Platform (“Platform”) operated by Nuvra Limited (“Nuvra”, “Nuvra Tech”, “Company”, “we”, “us”, “our”).

1.2 This Policy forms an integral part of the Terms of Service and applies to all Users who subscribe to or purchase Services, credits, tokens, or platform features.

1.3 By subscribing to the Platform, Users agree to comply with this Policy in full.

2. SUBSCRIPTION MODELS

2.1 Nuvra Tech offers subscription plans (“Subscription Plans”) that may vary in:

  • price
  • duration
  • features
  • token/credit allocations
  • service levels
  • support tiers

 

2.2 Subscription Plans may be offered:

  • monthly
  • annually
  • enterprise/custom agreements
  • promotional or limited-time offerings

 

2.3 The features and usage limits of each Plan are defined on the Platform and form part of the agreement between the User and the Company.

3. TOKEN/CREDIT ALLOCATION

3.1 Subscription Plans include an allocation of credits/tokens (“Tokens”), which function as usage units for AI model executions, workloads, and platform features.

3.2 Tokens:

  1. expire at the end of each billing cycle;
    b. do not roll over unless expressly permitted for specific Plans;
    c. have no monetary value;
    d. are non-refundable and non-transferable;
    e. may be purchased as add-ons independently of subscription renewal.

3.3 Abuse of the Token system constitutes a breach of this Policy and may result in account suspension.

4. PRICING AND TAXES

4.1 Subscription fees are displayed in the currency indicated on the Platform and may vary by region.

4.2 The User acknowledges that:

  1. all prices are exclusive of Value Added Tax (VAT) unless stated otherwise;
    b. VAT will be applied in accordance with applicable UAE Federal Tax Authority (FTA) regulations;
    c. applicable taxes may vary depending on the User’s location.

 

4.3 Prices may be adjusted at the Company’s discretion with reasonable prior notice to Users.

5. BILLING AND PAYMENT

5.1 Subscription fees are billed in advance on a recurring basis, corresponding to the selected billing term.

5.2 Upon subscribing, Users authorize Nuvra Tech to charge the payment method on file for:

  • subscription fees
  • applicable taxes
  • additional Tokens purchased
  • upgrade fees or prorated adjustments

5.3 Accepted payment methods may include:

  • credit/debit cards
  • online payment gateways
  • bank transfers (for enterprise accounts)

5.4 Users must ensure that valid, up-to-date payment information is maintained.

6. AUTOMATIC RENEWAL

6.1 Subscriptions renew automatically unless:

  1. the User cancels before the next billing cycle; or
    b. the Company terminates access under applicable policies.

6.2 Upon renewal, the User authorizes the Company to charge the prevailing subscription fee.

6.3 Failure to renew due to payment issues may result in suspension under Section 8.

7. UPGRADES, DOWNGRADES, AND PLAN CHANGES

7.1 Upgrades

  1. Users may upgrade their Subscription Plan at any time.
    b. Upgrades take effect immediately.
    c. Users will be charged a prorated fee for the remainder of the billing cycle.

 

7.2 Downgrades

a. Downgrades take effect at the start of the next billing cycle.
b. Certain features or Token allocations may no longer be available after downgrading.
c. Downgrades may not result in refunds except as permitted by the Refund & Cancellation Policy.

8. FAILED PAYMENTS

8.1 If a payment attempt fails:

  1. the User will receive a notification;
    b. the Company may make multiple attempts to reprocess the payment;
    c. access to the Platform may be restricted until payment is resolved.

 

8.2 Continued failure to settle outstanding amounts may result in:

  • suspension of the User account;
  • permanent termination;
  • referral of unpaid balances to collection agencies, where permitted by UAE law.

9. INVOICING

9.1 The Company shall issue VAT-compliant invoices in accordance with UAE FTA requirements.

9.2 Invoices will be delivered electronically to the User’s registered email or made available within the Platform.

9.3 Enterprise customers may request alternative invoicing arrangements subject to approval.

10. CANCELLATION

10.1 Users may cancel their subscription at any time through the Platform’s account management settings.

10.2 Cancellation does not entitle Users to refunds except as expressly permitted under the Refund & Cancellation Policy.

10.3 Upon cancellation:

a. the subscription remains active until the end of the current billing cycle;
b. unused Tokens will expire;
c. no new charges will be applied unless the User reactivates the subscription.

11. REFUNDS

11.1 Nuvra Tech does not provide refunds except in accordance with the Refund & Cancellation Policy.

11.2 Refunds may be granted only in the following limited circumstances:

  • duplicate billing errors;
  • platform-wide service outage exceeding agreed SLA thresholds;
  • valid technical issues preventing access for more than 48 consecutive hours;
  • regulatory or statutory obligations requiring refund.

 

11.3 Refunds, where applicable, may take up to 30 days to process.

12. DISPUTED CHARGES

12.1 Users must notify the Company of disputed charges within 15 days of the billing date.

12.2 All disputes shall be investigated in accordance with the hybrid dispute resolution mechanism outlined in the Terms of Service (Negotiation → Mediation → Arbitration).

12.3 Users must not initiate chargebacks without first engaging the Company in good-faith resolution.

13. CURRENCY FLUCTUATIONS

13.1 For Users outside the UAE:

a. actual charges may vary due to exchange rate differences;
b. the Company is not liable for fluctuations or related bank fees.

14. SUSPENSION AND TERMINATION FOR NON-PAYMENT

14.1 The Company may suspend User access if payments remain outstanding.

14.2 If payment is not resolved within 10 days of suspension, the Company reserves the right to terminate the User account permanently.

14.3 Upon termination:

  • Tokens expire immediately;
  • access to premium features ceases;
  • no refunds are issued.

15. PROMOTIONS AND DISCOUNTS

15.1 Promotional pricing is valid only for the period explicitly stated.

15.2 The Company may withdraw or modify promotions at its discretion.

15.3 Discounts do not apply retroactively.

16. ENTERPRISE BILLING TERMS

16.1 Enterprise subscriptions may include:

  • custom payment schedules;
  • invoicing terms;
  • tailored Token allocations;
  • service-level guarantees;
  • negotiated pricing.

16.2 Enterprise terms supersede this Policy only where expressly stated in a signed agreement.

17TAX COMPLIANCE

17.1 All payments shall comply with:

  • UAE VAT Law
  • Federal Tax Authority regulations
  • Masdar Free Zone tax rules

17.2 Users are responsible for any local taxes imposed in their jurisdiction.

  1. AMENDMENTS

Nuvra Tech reserves the right to modify this Policy with reasonable notice to Users.

Continued use of the Platform constitutes acceptance of amended terms.

  1. GOVERNING LAW

This Policy is governed by:

  • UAE Federal Laws;
  • Laws of the Emirate of Abu Dhabi;
  • Masdar City Free Zone regulations.
