Content Ownership & Licensing Policy

1. PURPOSE AND SCOPE

1.1 This Content Ownership & Licensing Policy (“Policy”) governs the ownership, licensing, intellectual property rights, and permissible uses of all content submitted to or generated through the Vibe Coding Platform (“Platform”), operated by Nuvra Limited (“Nuvra”, “Nuvra Tech”, “Company”, “we”, “our”).

1.2 This Policy applies to:

all registered and unregistered Users of the Platform;
all User Inputs submitted to the Platform;
all AI Outputs generated by the Platform;
any derivative works produced therefrom.

1.3 This Policy complements and is incorporated by reference into the Terms of Service, Intellectual Property Policy, and Acceptable Use Policy.

2. DEFINITIONS

For purposes of this Policy:

2.1 “User Inputs” means any data, text, code, prompts, descriptions, files, or instructions submitted by Users into the Platform.

2.2 “AI Outputs” means any content generated by the Platform’s AI systems in response to User Inputs, including text, code, documentation, or other digital material.

2.3 “User Content” collectively refers to User Inputs and AI Outputs.

2.4 “Company Content” refers to all proprietary content owned or licensed by Nuvra Tech.

2.5 “License” means the legal authorization granted for the use of content subject to this Policy.

3. OWNERSHIP OF USER INPUTS

3.1 Users retain sole and exclusive ownership of all User Inputs submitted to the Platform.

3.2 By submitting User Inputs, Users represent and warrant that:

they own or have lawful rights to use the content;
b. the content does not infringe third-party intellectual property rights;
c. the content complies with UAE law and platform policies.

3.3 Users grant Nuvra Tech a limited license to process User Inputs solely for legitimate operational purposes (see Section 4).

4. LICENSE GRANTED TO THE COMPANY FOR PROCESSING

4.1 Users grant Nuvra Tech a:

non-exclusive,
worldwide,
revocable,
royalty-free,
limited license

to process User Inputs for the purposes of:

providing Platform services;
b. generating AI Outputs;
c. maintaining operational functionality;
d. conducting security checks;
e. complying with legal obligations.

4.2 This license does not permit the Company to:

sell User Inputs;
publicly disclose User Inputs except where legally compelled;
use User Inputs for unrelated commercial purposes.

4.3 This license terminates upon deletion of User Inputs or closure of the User’s account, except where retention is required by UAE law.

5. OWNERSHIP OF AI OUTPUTS

5.1 Users receive full rights and a perpetual license to use AI Outputs as described in Section 6.

5.2 Nuvra Tech does not assert ownership over AI Outputs generated for the User.

5.3 AI Outputs may contain non-unique or statistically similar results due to the nature of generative models.

5.4 Users acknowledge that:

a. AI Outputs may require review, modification, or validation;
b. AI Outputs may not always be legally or technically reliable;
c. the User bears full responsibility for verifying accuracy and compliance.

6. LICENSE GRANTED TO THE USER FOR AI OUTPUTS

6.1 Subject to compliance with this Policy, Nuvra Tech grants the User a:

non-exclusive,
worldwide,
perpetual,
royalty-free,
irrevocable (subject to Section 9),
transferable,
sublicensable license

to use, reproduce, modify, distribute, publish, commercialize, and create derivative works from AI Outputs.

6.2 Users may incorporate AI Outputs into:

commercial products;
proprietary software;
documentation;
internal systems;
public-facing applications.

6.3 Nuvra Tech imposes no claims or restrictions on such downstream uses, except as expressly stated under this Policy or as required under UAE law.

7. COMPANY RIGHTS TO ANALYTICAL AND AGGREGATED DATA

7.1 Nuvra Tech may process aggregated, anonymized, or de-identified data derived from User interactions for:

analytics and performance optimization;
AI model refinement (subject to appropriate anonymization);
system troubleshooting;
security enhancement;
statutory compliance.

7.2 Such data shall not identify Users or disclose proprietary User Inputs.

8. PROHIBITED USES OF USER CONTENT AND AI OUTPUTS

Users may not use User Inputs or AI Outputs to:

violate UAE laws or public morality;
b. infringe third-party intellectual property rights;
c. generate or distribute harmful, malicious, or unlawful software;
d. misrepresent AI Outputs as human-produced where such disclosure is legally mandated;
e. train competing AI or machine learning models without express written consent from the Company.

Violation of this section may result in:

account suspension;
termination;
revocation of User licenses;
legal action under UAE IP laws.

9. REVOCATION OF LICENSE FOR BREACH

9.1 The license granted to the User under Section 6 may be revoked only if:

the User materially breaches this Policy;
the User engages in unlawful or harmful activities;
the User’s account is terminated for cause.

9.2 Upon revocation:

the User must cease all further use of AI Outputs derived from unauthorized access or misconduct;
legitimate commercial uses previously licensed remain unaffected unless they directly constitute unlawful or infringing activity.

10. THIRD-PARTY CONTENT AND LICENSING

10.1 The Platform may incorporate or interact with third-party content, libraries, or software.

10.2 Users acknowledge that:

third-party licenses may impose additional restrictions;
the Company does not guarantee that AI Outputs will be free of third-party copyrighted material;
Users are responsible for conducting appropriate due diligence for commercial applications.

10.3 The Company shall not be liable for infringement arising from User misuse of Outputs.

11. CONFIDENTIALITY OF USER CONTENT

11.1 Nuvra Tech treats User Inputs and AI Outputs as confidential unless:

disclosure is required by UAE law or court order;
the User has made such content public;
disclosure is necessary for system integrity, security, or legal compliance.

11.2 The Company employs technical and organizational measures to safeguard User Content.

12. INFRINGEMENT CLAIMS AND TAKEDOWN PROCEDURES

12.1 Third parties may submit infringement notices to: legal@nuvra.agency

12.2 The notice must include:

identification of allegedly infringing material;
proof of IP ownership;
legal basis for the claim.

12.3 Upon receipt, Nuvra Tech may:

temporarily remove the content;
notify the User;
request counter-evidence;
permanently remove content upon verification.

12.4 The User is liable for infringement arising from User Inputs or use of AI Outputs.

13. DISCLAIMERS

13.1 AI Outputs are probabilistic and may include:

inaccuracies;
outdated information;
content similar to publicly available material;
non-original combinations derived from model logic.

13.2 The Company makes no warranties regarding:

originality;
non-infringement;
fitness for a particular purpose.

13.3 Users must conduct necessary legal, technical, and professional review before deployment.

14. GOVERNING LAW

This Policy is governed by:

UAE Federal Laws, including IP and Cybercrime statutes;
Laws of the Emirate of Abu Dhabi;
Masdar City Free Zone regulations.

15. AMENDMENTS

Nuvra Tech may update this Policy at any time.
Revised versions take effect upon publication.
Continued use constitutes acceptance.
