Intellectual Property (IP) Policy

1. PURPOSE AND SCOPE

1.1 This Intellectual Property Policy (“Policy”) governs all rights and obligations relating to intellectual property (“IP”) concerning the Vibe Coding Platform (“Platform”) operated by Nuvra Limited (“Nuvra Tech”, “Company”, “we”, “our”).

1.2 This Policy applies to:

  • all Users of the Platform;
  • all content submitted, generated, processed, or derived therefrom;
  • proprietary technologies, systems, and materials owned or licensed by the Company.

1.3 This Policy forms an integral part of the Terms of Service and is enforceable under UAE IP statutes and regulations.

DEFINITIONS

For purposes of this Policy:

2.1 “Intellectual Property (IP)” includes copyrights, trademarks, inventions, software code, proprietary models, algorithms, trade secrets, industrial designs, and all related rights, whether registered or unregistered.

2.2 “User Inputs” means prompts, text, code, datasets, or other content submitted by Users.

2.3 “AI Outputs” means machine-generated content produced by the Platform in response to User Inputs.

2.4 “Company IP” means all proprietary materials owned, developed, or licensed by Nuvra Tech.

2.5 “Third-Party IP” means intellectual property owned by entities other than the User or the Company.

3. OWNERSHIP OF THE PLATFORM AND COMPANY IP

3.1 Nuvra Tech is the sole and exclusive owner of all rights, title, and interest in and to:

  • Platform software, architecture, and code;
  • AI/ML models, algorithms, and training data (excluding User Personal Data);
  • system designs, interfaces, and user experience elements;
  • Platform documentation, APIs, and developer tools;
  • trademarks, service marks, logos, branding, and domain names;
  • proprietary business processes, workflows, and configurations.

3.2 Company IP is protected under:

  • UAE Copyright Law;
  • UAE Industrial Property Law;
  • UAE Trademarks Law;
  • UAE Penal Code and Cybercrime Law;
  • relevant international treaties.

3.3 Users acquire no ownership interest in Company IP through use of the Platform.

3.4 Any unauthorized reproduction, copying, modification, distribution, or reverse engineering of Company IP is strictly prohibited and may result in legal action.

4. USER INPUTS — OWNERSHIP AND RIGHTS

4.2 By submitting User Inputs to the Platform, the User grants Nuvra Tech a:

  • non-exclusive,
  • worldwide,
  • royalty-free,
  • limited license

to process such Inputs solely for the purposes of:

  • providing the Services;
  • generating AI Outputs;
  • maintaining system functionality;
  • ensuring security and compliance.

4.3 The Company does not claim ownership over User Inputs.

4.4 Users warrant that their Inputs do not infringe any Third-Party IP rights.

5. AI OUTPUTS — OWNERSHIP AND LICENSE

5.1 AI Outputs generated by the Platform are provided to Users under a:

  • non-exclusive,
  • perpetual,
  • worldwide,
  • irrevocable,
  • royalty-free license

subject to compliance with this Policy and UAE law.

5.2 Users may:

  • use, reproduce, display, publish, or modify AI Outputs;
  • incorporate AI Outputs into commercial or non-commercial products;
  • sublicense AI Outputs to third parties.

5.3 The Company does not guarantee:

  • uniqueness of Outputs;
  • fitness for purpose;
  • non-infringement of third-party rights;
  • legal or factual accuracy.

5.4 Users bear full responsibility for:

  • validating AI Outputs;
  • ensuring lawful use;
  • obtaining third-party permissions where required.

6. RESTRICTIONS ON USE OF COMPANY IP

Users shall not:

  1. copy, reproduce, or distribute Company IP;
    b. reverse engineer, decompile, or extract the Platform’s underlying source code or models;
    c. train competing AI systems using Platform Outputs without written approval;
    d. use Company IP to build a derivative or competing product;
    e. remove or alter copyright notices, trademarks, or proprietary labels;
    f. access Company IP through unauthorized means;
    g. utilize Company IP for unlawful or harmful purposes.

Violation may result in:

  • immediate termination;
  • legal proceedings;
  • compensation claims for damages.

7. THIRD-PARTY INTELLECTUAL PROPERTY

7.1 The Platform may utilize third-party libraries, datasets, models, or components under specific licensing terms.

7.2 Users agree to comply with applicable third-party license agreements.

7.3 Users may not:

  • infringe third-party copyrights or patents;
  • upload or distribute content that violates third-party proprietary rights;
  • remove third-party notices or license statements.

7.4 Any unauthorized use of Third-Party IP is strictly prohibited.

8. USER WARRANTIES AND REPRESENTATIONS

Users represent and warrant that:

a. they have all necessary rights to submit User Inputs;

b. their submissions do not infringe third-party rights;

c. they will not upload infringing, counterfeit, or pirated materials;

d. they will comply with all UAE copyright and IP laws.

Users agree to indemnify the Company for IP-related claims arising from their actions.

9. INFRINGEMENT NOTICE PROCEDURE (TAKEDOWN REQUESTS)

9.1 Nuvra Tech respects the intellectual property rights of others.

9.2 If a copyright owner or authorized agent believes that User Inputs or AI Outputs infringe their rights, they may submit a written infringement notice to:

9.3 The notice must include:

  • identification of the copyrighted work;
  • description of infringing material;
  • proof of ownership;
  • contact information;
  • a sworn statement of accuracy.

9.4 Upon receipt, the Company will:

  1. review the notice;
    b. temporarily remove or restrict access to the disputed material (if applicable);
    c. notify the User;
    d. request counter-notices where warranted.

9.5 Counter-notices must include proof of rights or legitimate use.

9.6 The Company may, at its discretion:

  • restore materials;
  • permanently remove them;
  • suspend or terminate User accounts where infringement is confirmed.

10. CONFIDENTIAL INFORMATION AND TRADE SECRETS

10.1 Users acknowledge that Company IP includes confidential and proprietary information.

10.2 Users shall:

  • maintain strict confidentiality;
  • not disclose Company IP to third parties;
  • implement reasonable measures to prevent unauthorized access.

10.3 Breach of confidentiality obligations may result in legal action under UAE law.

11. VIOLATIONS AND ENFORCEMENT

11.1 Violations of this Policy may result in:

  • immediate suspension;
  • permanent account termination;
  • forfeiture of Tokens or features;
  • civil claims for damages;
  • reporting to UAE authorities, where legally required.

11.2 Nuvra Tech reserves all rights to pursue remedies under UAE Federal Law and international treaties.

12. AMENDMENTS

Nuvra Tech may amend this Policy at any time.
Updated versions will be published with a revised Effective Date.
Continued use constitutes acceptance.

13. GOVERNING LAW

This Policy shall be governed by:

  • UAE Federal Laws (including Copyright, Industrial Property, and Cybercrime statutes);
  • Laws of the Emirate of Abu Dhabi;
  • Masdar City Free Zone regulations.
