Tokens Usage Policy

1. PURPOSE AND SCOPE

1.1 This Credits / Tokens Usage Policy (“Policy”) governs the issuance, allocation, consumption, management, expiry, and permitted use of Credits/Tokens (“Tokens”) on the Vibe Coding Platform (“Platform”) operated by Nuvra Limited (“Nuvra”, “Nuvra Tech”, “Company”, “we”, “us”, “our”).

1.2 This Policy applies to all Users who subscribe to, purchase, or otherwise obtain Tokens through the Platform.

1.3 This Policy forms an integral part of the Terms of Service and must be read in conjunction with the Subscription & Billing Policy and the Acceptable Use Policy (AUP).

DEFINITIONS

2.1 “Tokens” are metered, digital usage units that enable access to certain features, models, AI operations, workloads, or other functionalities within the Platform.

2.2 “Token Consumption” means the reduction of Tokens resulting from User activities, such as AI generation, builds, runs, API calls, or other tasks defined by the Company.

2.3 “Token Package” refers to Token allocations associated with Subscription Plans or purchased as add-ons.

2.4 “Abusive Use” refers to Token usage that violates this Policy, including attempts to exploit or manipulate the system.

3. NATURE OF TOKENS

3.1 Tokens are a digital usage metric and not a form of currency.

3.2 Tokens:

a. have no monetary or cash value,
b. are non-refundable,
c. are non-transferable,
d. may not be sold, exchanged, bartered, or traded,
e. do not represent a financial instrument,
f. are not convertible to other digital assets or credits.

3.3 Tokens do not constitute property nor confer ownership rights or equity interests in the Company.

4. TOKEN ALLOCATION

4.1 Each Subscription Plan provides a specified number of Tokens per billing cycle.

4.2 Tokens may also be purchased separately as add-ons.

4.3 Token allocations are detailed on the Platform and may vary by:

  • Plan tier;
  • geographic region;
  • enterprise agreements;
  • promotional offerings.

 

4.4 Token allocations for enterprise contracts may be governed by separate written agreements

5. TOKEN CONSUMPTION

5.1 Token Consumption is calculated based on:

  • type of AI model used;
  • size, complexity, or volume of requests;
  • compute resources required;
  • number of API or workload calls;
  • selected features or tools.

5.2 The Company reserves the right to modify Token consumption rates at its discretion to reflect:

  • changes in resource cost;
  • platform enhancements;
  • scaling factors;
  • model improvements.

 

5.3 Any material changes to Token consumption rates will be communicated to Users with reasonable notice.

6. EXPIRY OF TOKENS

6.1 Tokens allocated under Subscription Plans expire at the end of each billing cycle.

6.2 Expired Tokens:

  • cannot be restored,
  • do not carry forward, unless explicitly permitted by certain promotional or enterprise plans,
  • cannot be redeemed for refunds or credits.

 

6.3 Users are responsible for managing Token usage before expiry.

7. TOKEN PURCHASES

7.1 Additional Tokens may be purchased by Users at the rates specified on the Platform.

7.2 Token purchases are:

  • processed immediately,
  • non-refundable,
  • valid only during the User’s active subscription period,
  • subject to expiry rules under Section 6.

 

7.3 The Company may impose limits on the quantity of Tokens that may be purchased to maintain system integrity.

8. PROHIBITED USES OF TOKENS

Users are strictly prohibited from:

a. attempting to bypass or manipulate Token metering;

b. generating workarounds to avoid Token Consumption;
c. using automation, scripts, or bots to inflate usage or exploit system behavior;
d. reverse engineering consumption logic;
e. sharing Tokens across multiple accounts;
f. reselling or redistributing Tokens;
g. conducting abusive workloads intended to stress, test, or degrade system performance;
h. using Tokens for prohibited content or activities under the Acceptable Use Policy;
i. enabling third-party access to Tokens through account sharing or proxying.

Violations may result in:

  • immediate account suspension;
  • termination;
  • forfeiture of Tokens;
  • reporting to UAE authorities (where applicable under Cybercrime Law).

9. TOKEN MISUSE AND FRAUD PREVENTION

9.1 Nuvra Tech reserves the right to monitor:

  • Token usage patterns,
  • workload anomalies,
  • automated or suspicious behavior,
  • multi-account abuse.

9.2 The Company may suspend or terminate access where misuse is detected.

9.3 The Company may require Users to verify identity or account ownership during investigations.

10. TOKEN ADJUSTMENTS AND DISCRETIONARY CREDITS

10.1 Nuvra Tech may, at its discretion:

  • issue promotional Tokens;
  • provide compensation Tokens for outages or service disruptions;
  • correct Token balances due to system errors.

10.2 Discretionary Tokens:

  • are non-refundable;
  • may be revoked at any time;
  • may be subject to shorter expiry periods;
  • do not entitle Users to additional compensation.

11. ACCOUNT SUSPENSION OR TERMINATION

11.1 Upon account suspension or termination:

  1. all remaining Tokens shall immediately expire;
    b. unused Tokens are forfeited;
    c. no refunds or credits shall be issued.

11.2 Termination for breach of policy results in permanent loss of Token balances.

12. CHANGES TO TOKEN SYSTEM

The Company may, with reasonable notice, modify:

  • Token allocation amounts;
  • Token consumption formulas;
  • Token pricing;
  • Token expiry rules.

Changes shall not apply retroactively to previously consumed Tokens.

13. AUDIT RIGHTS

13.1 Nuvra Tech reserves the right to audit Token usage for compliance.

13.2 Users must cooperate with reasonable audit requests, including:

  • provision of logs,
  • account access verification,
  • clarification of usage patterns.

13.3 Failure to cooperate may result in suspension.

14. LIABILITY LIMITATION

14.1 The Company shall not be liable for:

  • mismanagement of User Tokens;
  • loss of Tokens due to User error;
  • expired Tokens;
  • misuse resulting from compromised accounts;
  • reliance on Token availability.

14.2 Aggregate liability shall be limited in accordance with the Terms of Service.

15. GOVERNING LAW

This Policy is governed by:

  • UAE Federal Laws;
  • Laws of the Emirate of Abu Dhabi;
  • Masdar City Free Zone regulations.

16. AMENDMENTS

The Company may amend this Policy at any time.
Continued use of the Platform constitutes acceptance of updated terms.
